The memorandum of association is the founding contract between the partners of a limited liability company on the UAE mainland. Current versions are drawn up under Federal Decree-Law No. 32 of 2021 on Commercial Companies and are written in Arabic, because the economic department and the notary public work in Arabic.
It opens with a party block for each partner, giving nationality, identity number, date of birth, address and contact details, and calls them the first party and the second party. A short preamble then leads into the articles. The first ones set the company name, the partners' liability limited to their shares and the head office; later articles usually deal with activities, capital and how it is split, management, profit sharing, transfer of shares and dissolution.
